Terms of Service

1. Agreement to Terms

By engaging CranberrieStudios ("we," "us," or "our") for web development services, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

CranberrieStudios provides custom static website development, deployment support, monthly care plans, SEO and content services, analytics setup, and related web development services as described on our website and in individual project agreements.

The specific scope, deliverables, and timeline for each project will be outlined in a written estimate or project agreement provided to the Client before work begins.

3. Code Ownership

Upon full payment, the Client receives complete ownership of all custom code, design files, and website assets created specifically for their project. This includes all HTML, CSS, JavaScript, and related source files.

Third-party libraries, frameworks, and tools used in development (such as open-source software) remain subject to their respective licenses.

4. Payment Terms

• A deposit may be required before work begins, as outlined in the project agreement.
• Final payment is due upon project completion and before deployment to the live domain.
• Monthly care plan fees are billed on a recurring basis and may be cancelled at any time.
• Custom development work is billed at our hourly rate with a 4-hour minimum. Written estimates are provided in advance.
• Late payments may result in suspension of services, including hosting and care plan benefits.

5. Client Responsibilities

The Client agrees to:

• Provide all necessary content, images, branding materials, and feedback in a timely manner.
• Review and approve deliverables within a reasonable timeframe.
• Ensure that all content provided to us does not infringe on any third-party intellectual property rights.
• Maintain the confidentiality of any account credentials we create or provide.

6. Revisions and Scope Changes

Each project includes a review and refinement phase as described in our process. Reasonable revisions within the original project scope are included.

Requests that fall outside the agreed-upon scope (additional pages, new features, significant redesigns) will be quoted separately and billed at our hourly rate.

7. Monthly Care Plans

Care plans are optional and can be cancelled at any time. Upon cancellation, the Client retains full ownership of their website code and files.

If the Client cancels their care plan, hosting, SSL, and related services included in the plan will cease at the end of the current billing period. The Client is responsible for arranging alternative hosting.

8. Limitation of Liability

CranberrieStudios shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project or service in question.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• The Client will be invoiced for all work completed up to the termination date.
• Upon payment, completed work product will be delivered to the Client.
• Any deposits for uncompleted work may be partially refundable at our discretion.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
